BlackGate Commercial Software License Agreement
1. License Grant
Subject to the terms and conditions of this Agreement, BlackGate Pty Ltd ("BlackGate", "we", "us", or "our") grants you a non-exclusive, non-transferable license to use our WordPress plugins and software ("Software") on the number of websites specified in your license purchase.
2. License Types
Single Site License
Permits use on one (1) production website and unlimited development/staging sites.
Multi-Site License
Permits use on up to five (5) production websites and unlimited development/staging sites.
Developer License
Permits use on unlimited websites owned or managed by the license holder.
3. Permitted Uses
- Install and use the Software on the number of websites covered by your license
- Make modifications to the Software for your own use
- Create backup copies for archival purposes
- Use the Software on development and staging environments
4. Restrictions
- You may not redistribute, resell, or sublicense the Software
- You may not remove or modify any copyright notices or license information
- You may not reverse engineer, decompile, or disassemble the Software
- You may not use the Software on more websites than permitted by your license
- You may not share your license key with unauthorized parties
5. Updates and Support
Your license includes:
- Automatic updates for one (1) year from purchase date
- Premium email support for one (1) year from purchase date
- Access to documentation and knowledge base
- Bug fixes and security patches
Renewal of updates and support is available for purchase after the initial period expires.
6. Refund Policy
We offer a 30-day money-back guarantee. If you are not satisfied with the Software, you may request a full refund within 30 days of purchase. Refunds are processed to the original payment method within 5-10 business days.
7. Intellectual Property
The Software is protected by copyright and other intellectual property laws. BlackGate retains all rights, title, and interest in and to the Software. This license does not grant you any rights to trademarks, service marks, or trade names of BlackGate.
8. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. BLACKGATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of Liability
IN NO EVENT SHALL BLACKGATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE.
10. Termination
This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies.
11. Governing Law
This Agreement is governed by the laws of South Australia, Australia. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of South Australia.
